1. Acceptance of Terms

By accessing or using the OrbisID website at orbisid.com (the “Website”), downloading the OrbisID software, or using any OrbisID services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all visitors to the Website and all users of the OrbisID software, including users of the Community Edition and licensees of Pro and Enterprise Editions.

If you are accepting these Terms on behalf of an organisation or company, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. About OrbisID

OrbisID is a Privileged Access Detection and Governance tool developed and maintained by Orbis Identity Ltd, a company registered in England and Wales (“Orbis Identity”, “we”, “us”, or “our”).

OrbisID is available in the following editions:

  • Community Edition – available free of charge, subject to these Terms.
  • Pro Edition – available under a paid annual licence agreement.
  • Enterprise Edition – available under a paid annual licence agreement with extended capabilities.

3. Licence Terms

3.1 Community Edition

Subject to these Terms, Orbis Identity grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the Community Edition of OrbisID solely for your internal business purposes.

3.2 Pro and Enterprise Editions

Use of the Pro and Enterprise Editions is governed by the terms of your licence agreement with Orbis Identity. In the event of any conflict between that licence agreement and these Terms, the licence agreement shall take precedence.

3.3 Restrictions

Except as expressly permitted by applicable law or by Orbis Identity in writing, you must not:

  • Copy, modify, adapt, translate, or create derivative works of the OrbisID software.
  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of OrbisID.
  • Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the software or your rights to use it.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the software.
  • Use the software to develop a competing product or service.
  • Share, publish, or disclose licence keys to third parties.

4. Acceptable Use

You agree to use OrbisID and the Website only for lawful purposes and in accordance with these Terms. You must not use the Services:

  • In any way that violates any applicable local, national, or international law or regulation.
  • For any unauthorised or fraudulent purpose.
  • To transmit any unsolicited or unauthorised advertising or promotional material.
  • To knowingly introduce viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material.
  • To attempt to gain unauthorised access to any part of the Services or any system or network connected to them.
  • In any manner that could damage, disable, overburden, or impair the Website or Services.

Orbis Identity reserves the right to suspend or terminate your access to the Services immediately, without notice, if we reasonably believe you have breached this section.

5. Intellectual Property

OrbisID, the OrbisID name, logo, and all related software, documentation, and materials are the exclusive property of Orbis Identity Ltd or its licensors and are protected by copyright, trade mark, and other intellectual property laws of England and Wales and applicable international laws.

These Terms do not grant you any rights in the name or trade marks of Orbis Identity, and you must not use them without our prior written consent.

Any feedback, suggestions, or ideas you provide to us regarding OrbisID may be used by Orbis Identity without restriction or compensation to you.

6. Third-Party Components

OrbisID may incorporate open-source or third-party software components. Your use of those components is subject to the applicable third-party licence terms, which are made available within the software distribution or upon request.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORBIS IDENTITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

In particular, Orbis Identity does not warrant that:

  • The Services will meet your specific requirements.
  • The Services will be uninterrupted, timely, secure, or error-free.
  • Any results obtained from use of the Services will be accurate or reliable.

The Community Edition is provided free of charge. Accordingly, to the extent permitted by law, Orbis Identity excludes all liability in connection with your use of the Community Edition.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORBIS IDENTITY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Orbis Identity’s total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of:

  • The total fees paid by you to Orbis Identity in the twelve (12) months immediately preceding the event giving rise to the claim; or
  • One hundred pounds sterling (£100) where no fees have been paid (e.g. Community Edition users).

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Orbis Identity Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

10. Privacy

Your use of the Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described in our Privacy Policy.

11. Links to Third-Party Websites

The Website may contain links to third-party websites or services that are not owned or controlled by Orbis Identity. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. We encourage you to review the terms and privacy policies of any third-party websites you visit.

12. Changes to the Services

Orbis Identity reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. For material changes, we will make reasonable efforts to notify users, such as by posting a notice on the Website or sending an email to registered users.

Your continued use of the Services following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Services.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, except that Orbis Identity may seek injunctive or other equitable relief in any jurisdiction as necessary to protect its intellectual property rights.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable licence agreement, constitute the entire agreement between you and Orbis Identity with respect to the Services and supersede all prior agreements, representations, and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall otherwise remain in full force and effect.

15.3 Waiver

Orbis Identity’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of Orbis Identity. Orbis Identity may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

15.5 No Partnership

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Orbis Identity.
